1. Acceptance of Terms

By accessing or using Timecone (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users of the Service, including employees, contractors, administrators, and any other individuals who access or use the Service on behalf of an organization.

2. Description of Service

Timecone is an employee time tracking and project management portal that enables organizations and their employees to:

  • Record and submit timesheet entries
  • Track time spent on projects, deliverables, and tasks
  • Manage project assignments and resource allocation
  • Generate reports and analytics
  • Submit and approve timesheets
  • Manage time off requests and balances
  • Integrate with third-party business systems (e.g., NetSuite, QuickBooks)

3. User Accounts

3.1 Account Creation

Your account may be created by your organization's administrator or automatically upon first sign-in using your organization's authentication system (e.g., Azure AD). You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibilities

You agree to:

  • Provide accurate, current, and complete information when creating or updating your account
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Notify your organization's administrator immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3.3 Account Access

Your organization's administrators have the authority to create, modify, suspend, or terminate user accounts within your organization's tenant. Access to the Service is granted at the discretion of your organization.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law
  • Submit false, inaccurate, or misleading timesheet entries
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks
  • Use any robot, spider, or other automatic device to access the Service for any purpose without our express written permission
  • Introduce any viruses, trojan horses, worms, or other harmful code
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Remove any copyright, trademark, or other proprietary notices from the Service
  • Use the Service to store or transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable

5. Timesheet Accuracy and Responsibility

You are responsible for the accuracy and completeness of all timesheet entries you submit. You agree to:

  • Record time accurately and in accordance with your organization's policies
  • Submit timesheets by the required deadlines
  • Respond promptly to approval requests and inquiries about your timesheet entries
  • Maintain records and documentation to support your timesheet entries when required

Falsification of timesheet data may result in immediate termination of your account and may have legal consequences.

6. Intellectual Property Rights

6.1 Service Ownership

The Service, including its original content, features, and functionality, is owned by Timecone and its licensors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 User Content

You retain ownership of any content you submit through the Service (timesheet entries, comments, attachments, etc.). By submitting content, you grant Timecone and your organization a license to use, store, process, and display such content as necessary to provide the Service and fulfill our obligations to your organization.

6.3 Organization Data

Data submitted to the Service by users within an organization belongs to that organization. Organizations have full control and ownership of their data within their tenant.

7. Multi-Tenant Architecture

The Service uses a multi-tenant architecture where each organization's data is stored in separate, isolated databases. You acknowledge that:

  • Your organization's administrators have full access to data within your organization's tenant
  • Data from different organizations is logically and physically separated
  • Your organization is responsible for managing user access and permissions within its tenant

8. Third-Party Integrations

The Service may integrate with third-party services (e.g., NetSuite, QuickBooks, Azure AD). Your use of these integrations is subject to the terms and conditions of those third-party services. Timecone is not responsible for the availability, accuracy, or content of third-party services.

Your organization is responsible for configuring and maintaining third-party integrations and ensuring compliance with those services' terms of use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIMECONE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL TIMECONE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOUR ORGANIZATION FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Timecone does not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

11. Account Termination

11.1 Termination by You

You may stop using the Service at any time. Contact your organization's administrator to request account deactivation.

11.2 Termination by Organization

Your organization's administrators may suspend or terminate your access to the Service at any time, with or without cause or notice.

11.3 Termination by Timecone

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms or engage in any fraudulent, illegal, or harmful activity.

11.4 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Your organization may retain access to historical data for reporting and compliance purposes.

12. Indemnification

You agree to indemnify, defend, and hold harmless Timecone and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, violation of these Terms, or violation of any rights of another.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the courts of competent jurisdiction in the United States.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Timecone regarding the use of the Service and supersede all prior agreements and understandings.
